According to the Complaint, the Company made false and misleading statements to the market. Global Payment’s wholly owned subsidiary, Active Network, used deceptive business practices to enroll customers into its discount club. The Company was aware of such behavior since July 2011. The Company failed to monitor the business practices of its subsidiary. Based on these facts, the Company’s public statements were false and materially misleading throughout the class period. When the market learned the truth about Global Payments, investors suffered damages.
