MCLEAN, VA / ACCESSWIRE / August 1, 2022 / Gladstone Commercial Corporation (Nasdaq:GOOD) ("Gladstone Commercial" or the "Company") today reported financial results for the second quarter ended June 30, 2022. A description of funds from operations, or FFO, and Core FFO, both non-GAAP (generally accepted accounting principles in the United States) financial measures, are located at the end of this press release. All per share references are to fully-diluted weighted average shares of common stock and Non-controlling OP Units, unless otherwise noted. Second Quarter Activity:
- Collected 100% of cash rents: Collected 100% of cash rents due during April, May, and June;
- Acquired property: Purchased five fully-occupied industrial properties for $38.1 million in the aggregate, with approximately 606,303 square feet of total rented space, at a weighted average cap rate of 6.57%;
- Issued new debt: Borrowed $15.0 million in variable rate mortgage debt at an interest rate of SOFR plus 2.50% and borrowed $20.0 million in fixed rate mortgage debt at a weighted average interest rate of 3.70%;
- Repaid debt: Repaid $14.8 million in fixed rate mortgage debt at an interest rate of 6.10%;
- Extended mortgage debt maturity date: Extended the maturity date of a $3.6 million fixed rate mortgage note from April 2022 to April 2023 and extended the maturity date of a $7.1 million variable rate mortgage note from June 2022 to June 2023;
- Leased vacant space: Leased 29,505 square feet of previously vacant space with a lease term of 5.1 years at one of our properties;
- Renewed leases: Renewed 5,227 square feet with a remaining lease term of 5.8 years at one of our properties;
- Issued common stock under ATM program: Issued 576,604 shares of our common stock for net proceeds of $11.4 million;
- Issued Series F Preferred Stock: Issued 63,145 shares of our Series F Preferred Stock for net proceeds of $1.4 million; and
- Paid distributions: Paid monthly cash distributions for the quarter totaling $0.37620 per share on our common stock and Non-controlling OP Units, $0.414063 per share on our Series E Preferred Stock, $0.375 per share on our Series F Preferred Stock, $0.375 per share on our Series G Preferred Stock, and $0.2625 per share on our senior common stock.
Second Quarter 2022 Results: Core FFO available to common shareholders and Non-controlling OP Unitholders for the three months ended June 30, 2022 was $15.3 million, a 0.1% decrease when compared to the three months ended March 31, 2022, equaling $0.39 per share. Core FFO decreased primarily due to an increase in LIBOR rates on variable rate debt during the quarter, resulting in a higher interest expense.
Net loss attributable to common stockholders and Non-controlling OP Unitholders for the three months ended June 30, 2022 was $1.5 million, or $0.04 per share, compared to net income available to common stockholders and Non-controlling OP Unitholders for the three months ended March 31, 2022 of $0.3 million, or $0.01 per share. In the Summary Information table above, we provide a reconciliation of Core FFO to net (loss) income for the three months ended June 30, 2022 and March 31, 2022, which we believe is the most directly comparable GAAP measure to Core FFO, a computation of basic and diluted Core FFO per weighted average share of common stock and Non-controlling OP Unit, as well as basic and diluted net (loss) income per weighted average share of common stock and Non-controlling OP Unit.
Subsequent to the end of the quarter:
- Collected 100% of July cash rent: Collected 100% of cash rents due in July;
- Issued common stock under ATM program: Issued 396,027 shares of common stock for net proceeds of $7.4 million;
- Issued Series F Preferred Stock: Issued 16,808 shares of Series F Preferred Stock for net proceeds of $0.4 million;
- Sold property: Sold our Jupiter, Florida property for $19.0 million, resulting in a gain on sale of $8.0 million;
- Repaid debt: Repaid $10.2 million in fixed rate mortgage debt at a weighted average interest rate of 4.71%;
- Extended mortgage debt maturity date: Extended the maturity date of a $11.0 million fixed rate mortgage note from July 2022 to July 2023;
- Leased vacant space: Leased 41,225 square feet of previously vacant space with a lease term of 5.7 years at one of our properties; and
- Declared distributions: Declared monthly cash distributions for July, August, and September 2022, totaling $0.37620 per share on our common stock and Non-controlling OP Units, $0.414063 per share on our Series E Preferred Stock, $0.375 per share on our Series F Preferred Stock, $0.375 per share on our Series G Preferred Stock, and $0.2625 per share on our senior common stock.
Comments from Gladstone Commercial's President, Buzz Cooper: "Our financial results reflect consistent performance and stabilized revenues from our tremendous same store property occupancy, rent collection and growth, accretive real estate investments made during 2021 and the first six months of 2022, and our ability to renew tenants, as well as our deleveraging and capital recycling programs. We had an excellent start to 2022, by investing $51.4 million in seven industrial assets in our target markets and we intend to continue our capital recycling program, whereby we will sell non-core assets and use the proceeds to de-lever our portfolio, as well as acquire properties in our target growth markets. Despite economic uncertainty, so far during 2022, we renewed 263,205 square feet with three tenants and leased 29,505 square feet of vacant space. We are in good standing on our credit facility, which continues to provide us added financial flexibility and are actively marketing our remaining vacant space and anticipate positive outcomes. We expect to continue to have access to the debt and equity markets, as necessary, for added liquidity and are extremely pleased with our solid performance over the last several years. Our same store rents, which have increased by 2% annually in recent years, should be continuing to rise as we grow and we'll continue to primarily focus on investing in our target markets, with an emphasis on industrial properties and actively managing our portfolio. FFO: The National Association of Real Estate Investment Trusts ("NAREIT") developed FFO as a relative non-GAAP supplemental measure of operating performance of an equity REIT in order to recognize that income-producing real estate historically has not depreciated on the basis determined under GAAP.
