OM Group, Inc. is amending its Current Report on Form 8-K filed January 10, 2007 (the “Original Form 8-K”) pursuant to Instruction 2 to Item 5.02 of Form 8-K, to provide information that was not determined or available at the time of the filing of the Original Form 8-K. The Original Form 8-K was filed to report the appointment, effective January 9, 2007, of David L. Pugh to the Board of Directors.

(d) David L. Pugh, whose term of office as a director of OM Group, Inc. commenced on January 9, 2007, has been appointed to the Compensation Committee and the Nominating and Governance Committee of the Board of Directors
