Item 8.01. Other Events.

     On October 4, 2004, Applica Incorporated issued a press release announcing that it had extended its trademark license agreement with The Black & Decker Corporation through December 2010. Under the agreement as extended, Applica has agreed to continue to pay The Black & Decker Corporation guaranteed minimum royalty payments of $12.5 million in each year.

     A copy of the press release is attached as Exhibit 99.1 to this report.
