Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously reported, Danny C. Herron, Executive Vice President and Chief Financial Officer of Advanced Energy Industries, Inc., is eligible for a bonus under the company’s Leadership Corporate Incentive Plan. Any actual award of a bonus to Mr. Herron will be based upon several factors, as previously reported, including his accomplishment of individual performance objectives. On November 18, 2010, the Compensation Committee approved management’s proposal that Mr. Herron’s individual performance objectives include execution of the company’s initiatives in the categories of (a) organizational development and (b) business and financial process development. The Board of Directors maintains the discretion to evaluate each executive officer’s performance against his individual performance objectives and determine the relative weight of such objectives.
