Item 8.01 — Other Events.
      DUSA Pharmaceuticals, Inc. (“DUSA”) issued a press release on November 3, 2006, reporting its corporate highlights and financial results for the third quarter ended September 30, 2006.
      Except for historical information, this report contains certain forward-looking statements that involve known and unknown risk and uncertainties, which may cause actual results to differ materially from any future results, performance or achievements expressed or implied by the statements made. These forward-looking statements relate to intentions, beliefs, and expectations regarding the anticipated launches of Levulan in Brazil and other Latin American countries, the launches of potential Sirius pipeline products, the planned initiation of the clinical trial for acne, expectations regarding affects of purchase accounting adjustments and range of gross margin on Non-PDT Drug Products, and beliefs regarding non-GAAP presentations.
