 Item 1.01  Entry into a Material Definitive Agreement.
 
As previously reported by Sonic Corp. (“Sonic”) on a Current Report on Form 8-K filed with the Securities and Exchange Commission on September 27, 2018, on September 24, 2018, Sonic entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Inspire Brands, Inc. (“Inspire”), a Delaware corporation, and SSK Merger Sub, Inc. (“Merger Sub”), a Delaware corporation and wholly owned subsidiary of Inspire, pursuant to which Merger Sub will merge with and into Sonic (the “Merger”), and Sonic will become a wholly owned subsidiary of Inspire.  Section 2.02 of the Merger Agreement provided for the closing of the Merger to occur on the later of the second business day after satisfaction of, or, to the extent permissible by law, waiver of the conditions to closing (other than conditions that by their nature are to be satisfied at the closing, subject to their satisfaction or, to the extent permitted by law, waiver at the closing) and December 21, 2018, subject to certain rights of either Sonic or Inspire to postpone the closing specified in the merger agreement.

On November 21, 2018, Sonic and Inspire (acting on behalf of itself and Merger Sub) executed a waiver (the “Waiver”) confirming their agreement that (i) the reference to the second (2nd) business day in Section 2.02(a) of the Merger Agreement shall now be a reference to the first (1st) business day and (ii) the reference to December 21, 2018 in Section 2.02(b) of the Merger Agreement shall now be a reference to December 7, 2018.
 
Subject to the satisfaction or, to the extent permissible by law, waiver of the outstanding conditions to closing described in the Merger Agreement, including the affirmative vote of the holders of a majority of the outstanding shares of Sonic common stock to adopt the Merger Agreement at the special meeting of stockholders on December 6, 2018, Sonic anticipates that the Merger will occur on December 7, 2018.  There can be no assurance that any of the outstanding conditions will be satisfied or waived or that other events will not intervene to delay or result in the failure to consummate the Merger.
