On April 18, 2006, Independent Bank Corporation (the "Registrant") executed a Technology Outsourcing Renewal Agreement (the "Agreement") with Metavante Corporation ("Metavante"). The Agreement renews the parties' existing relationship, pursuant to which Metavante provides core data processing services to the Registrant and its subsidiary banks and other affiliates. The fees paid to Metavante for such services are generally volume-based. The Agreement extends the term of the parties' relationship to March 2012. Metavante has provided core data processing services to the Registrant for a period of over 20 years.
