Item 9.      Regulation FD Disclosure.

On May 20, 2004, Independent Bank Corporation issued a press release announcing the closing of its merger with Midwest Guaranty Bancorp, Inc., pursuant to the Agreement and Plan of Merger, dated February 4, 2004, between Independent Bank Corporation, Midwest Guaranty Bancorp, Inc., and Midwest Guaranty Bank. The merger will be effective May 31, 2004. A copy of the press release is attached as Exhibit 99.

MIDWEST GUARANTY BANCORP, INC. ACQUISITION

IONIA, Michigan, May 20, 2004 .. . . Independent Bank Corporation (Nasdaq: IBCP), a Michigan-based bank holding company, today announced that it has closed on its acquisition of Midwest Guaranty Bancorp, Inc., Troy, Michigan. The transaction will be effective at the close of business on May 31, 2004. As a result of the transaction, shareholders of Midwest Guaranty Bancorp, Inc. will receive 1.0473 shares of Independent Bank Corporation common stock and $17.3824 in cash for each share of Midwest common stock.

Independent Bank Corporation announced in March 2004 the pending acquisition of North Bancorp, Inc. (a $162 million bank holding company headquartered in Gaylord, Michigan). The North Bancorp acquisition is expected to be completed in July 2004.
