Item 2.02.    Results of Operations and Financial Condition

  On July 26, 2006, CyberOptics Corporation published a press release providing information regarding its results of operations and financial condition for the quarter ended June 30, 2006.

Item 7.01.    Regulation Disclosure

  In its July 26, 2006 press release, CyberOptics Corporation announced that its Board of Directors had approved a stock repurchase program under which it may acquire up to 500,000 shares of its common stock. The common stock would be acquired from time to time in open market transactions, block purchases and other transactions complying with the Commissions Rule 10b-18, and the Company intends to adopt a 10b5-1 trading plan to implement the repurchase program.
