Changes in Registrant's Certifying Accountant. The Audit Committee of the Board of Directors of Faro Technologies, Inc. (the "Registrant") recently participated in, recommended and approved the engagement of Grant Thornton LLP as the Registrant's principal accountant to audit the financial statements of the Registrant. Grant Thornton LLP was engaged by the Registrant on November 15, 2004. The Registrant dismissed Ernst & Young LLP on November 16, 2004 as its principal accountant to audit the Registrant's financial statements. The reason for the change in Registrant's principal accountant to audit financial statements was a desire, in the spirit of the Sarbanes-Oxley Act of 2002, to ensure a more clear separation between tax consulting and audit assistance for the Registrant. Ernst & Young LLP is still being retained by the Registrant as its principal accountant for tax purposes. Prior to the engagement of Grant Thornton LLP, Ernst & Young LLP had served as the principal accountant to audit the Registrant's financial statements for a period including the Registrant's two most recent fiscal years. The decision to change accountants was recommended and approved by the Audit Committee of the Registrant's Board of Directors. Ernst & Young LLP audited the Registrant's financial statements for the years ended December 31, 2002, and 2003, and issued its audit report dated February 20, 2004. During the two most recent fiscal years and the subsequent interim period preceding November 16, 2004 (date of dismissal), no report of Ernst & Young LLP on the Registrant's financial statements contained an adverse opinion or a disclaimer of opinion, nor was one qualified as to uncertainty, audit scope, or accounting principles. During the two most recent fiscal years and the subsequent interim period preceding November 16, 2004 (date of dismissal), there were no disagreements with Ernst & Young LLP on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Ernst & Young LLP would have caused Ernst & Young LLP to make a reference to the subject matter of the disagreements in connection with its report on the Registrant's financial statements for any such periods. The Registrant requested that Ernst & Young LLP furnish it with a letter addressed to the Securities and Exchange Commission stating whether or not it agrees with the above statements.
