On January 28, 2004, AMETEK, Inc. issued a press release to announce its fourth
quarter and full-year 2003 results. In said press release the Company also
announced a two-for-one stock split, an increase in its cash dividends, and
changes to its long-term incentive compensation structure. A copy of such press
release is attached as Exhibit 99(a). The information contained in the
aforementioned press release is hereby incorporated by reference in this Form
8-K.
