Item 8.01   Other Events.

       On August 25, 2005, Sonic Corp. (the “Registrant”) issued a press release announcing the trends of the Registrant’s business in the fourth quarter of fiscal 2005 and the Registrant’s outlook for fiscal year 2006, as well as an agreement with a franchisee for the acquisition of 15 drive-in restaurants expected to close September 1, 2005. The information in the press release attached hereto as Exhibit 99 is furnished pursuant to this Item 8.01.
