Item 8.01 Other Events

On January 26, 2006, The Neiman Marcus Group, Inc. entered into a technical amendment to the mandatory prepayment provisions of its senior secured term loan credit facility agreement.

A copy of Amendment No. 2 dated as of January 26, 2006 to the Credit Agreement dated as of October 6, 2005, as amended, among The Neiman Marcus Group, Inc., Newton Acquisition, Inc., each subsidiary of The Neiman Marcus Group, Inc. from time to time party thereto, the Lenders thereunder, and Credit Suisse, as administrative agent and collateral agent for the Lenders, is attached hereto as Exhibit 10.31.
