Item 7.01. Regulation FD Disclosure

On October 20, 2005, the Company announced that its Board of Directors declared a 10% stock dividend to shareholders of record on November 4, 2005 and payable on December 2, 2005. The Board of Directors also declared a quarterly cash dividend of $.11 per share to shareholders of record on December 9, 2005 and payable on January 3, 2006. Combined with the 10% stock dividend, this represents an effective 10% increase in the cash dividend.
