ITEM 5.02    DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On May 16, 2016, the Board of Directors of American Woodmark Corporation (the ‘Company”) received notice from Mr. William Brandt that he had declined to seek re-election to the Company’s board of directors at the Company’s next annual shareholders meeting on August 25, 2016.  Mr. Brandt’s decision is not attributable to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.  The press release announcing Mr. Brandt’s decision not to seek re-election is attached hereto as Exhibit 99.1 and incorporated herein by reference.
