Item 2.02                      Results of Operations and Financial Condition

On April 11, 2008, Textron Inc. issued a press release announcing that it expects first quarter 2008 earnings per share to exceed its previously forecasted range of $0.75 - $0.85 per share. The company said that strong performance in other businesses is more than offsetting slightly weaker than forecasted earnings at its Finance segment.  This press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
