Item 5.05    Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

On September 23, 2015, The Chemours Company (the “Company”) launched the new Chemours Code of Conduct to replace in its entirety the Company’s former Code of Conduct. The new code generally addresses the same matters as the former code, however taking a more principles-based approach to several of those matters. The Chemours Code of Conduct reflects the Company's values and principles of business conduct expected of employees, officers and directors of the Company as an independent, publicly traded company.
