Item 5.02DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

 

At regular Board meetings held on February 15, 2018, the Boards of Sierra Bancorp (the “Company”) and its wholly-owned subsidiary, Bank of the Sierra, formally accepted a letter of retirement from Robert L. Fields as a director of those organizations, effective as of the same date.  He was designated as a “director emeritus” subsequent to his retirement.  Mr. Fields had been a director of Bank of the Sierra since 1982 and a director of the Sierra Bancorp since its formation in 2000.  With the retirement of Mr. Fields, the Company’s Board of Directors was reduced in size from ten members to nine.
