Item 1.01. Entry into a Material Definitive Agreement.

On March 24, 2005, the Registrant received an executed Amendment to Medicare Managed Care Contract Pursuant to Section 1860D-31 of the Social Security Act for the Operation of a Medicare-Approved Prescription Drug Discount Card between the Centers for Medicare & Medicaid Services and WellCare of Louisiana, Inc., a wholly-owned subsidiary of the Registrant ("WellCare LA"), pursuant to which WellCare LA has been approved to operate a Medicare-approved prescription drug discount card in Louisiana. A copy of the amendment is attached as Exhibit 10.1 to this Current Report.

On March 29, 2005, the Registrant received an executed amendment to Contract Number C-014386 between The State of New York and WellCare of New York, Inc., a wholly-owned subsidiary of the Registrant ("WellCare NY"), pursuant to which WellCare NY’s contract to participate in the State of New York’s Child Health Plus program has been extended through June 30, 2005 and the reimbursement rates to WellCare NY were changed. A copy of the amendment is attached as Exhibit 10.2 to this Current Report.

In the interest of providing interested parties with full access to its federal, state and county contracts, the Registrant has elected to file such contracts with the Securities and Exchange Commission. The Registrant does not believe that its business is substantially dependent on many of these contracts when each is taken individually.

On March 29, 2005, the Registrant filed a press release announcing its planned expansion into Georgia and additional Medicare counties. A copy of the press release is attached as Exhibit 99.1 to this Current Report.
