(b) On February 28, 2005, Ms. Susan E. Arnold, a Class I Director of The Goodyear Tire & Rubber Company ("Goodyear"), informed Goodyear that as a result of her increased responsibilites at The Procter & Gamble Company, where she is Vice Chairman -- Global Beauty Care, she has declined to stand for reelection as a Director.
