(1) | The options, representing a right to purchase a total of 54,946 shares, vest and become exercisable commencing March 31, 2013 in equal increments over a period of twelve months on the last day of the month during which Mr. Eck serves as Interim Chief Executive Officer of the Company, and for one additional month thereafter as long as he continues to serve as a director. The option shall cease to vest and any unvested portion thereof shall be forfeited, cancelled and shall cease to be exercisable on the earlier of (i) the last day of the month following the month in which Mr. Eck ceases to be the Interim Chief Executive Officer of the Company (after taking into account any vesting for such month), or (ii) the date he ceases to be a director. |
