Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 2, 2018, Margaret A. Breya accepted an offer of employment to join MicroStrategy Incorporated (the “Company”) as Senior Executive Vice President & Chief Marketing Officer, and in connection with the acceptance of this offer, Ms. Breya resigned from her position as a member of the Company’s Board of Directors (the “Board”), effective as of the same date. Ms. Breya is expected to begin her new role on July 23, 2018. Ms. Breya’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Ms. Breya did not serve on any committee of the Board at the time of her resignation.
