On October 5, 2017, Gary Willis resigned as the Chief Financial Officer of Amedisys, Inc. (the Company) and accepted an Executive Vice President and Chief Financial Officer position with another healthcare company.
On October 5, 2017, the Board of Directors of the Company appointed Scott G. Ginn, currently the Companys Chief Accounting Officer, as the Companys Chief Financial Officer, effective immediately. Mr. Ginn, age 48, has served as the Companys Chief Accounting Officer since February 2017. He previously served as the Companys Senior Vice President of Finance and Accounting from October 2015 to February 2017 and Senior Vice President of Accounting and Controller from April 2007 to October 2015. Prior to joining the Company, he was a Director at Postlethwaite & Netterville, a professional accounting corporation. Mr. Ginn is a Certified Public Accountant.
Mr. Ginn will participate in the Amedisys Holding, L.L.C. Severance Plan for Key Executives dated April 30, 2015, as amended. Mr. Ginn does not have a family relationship with any of the current officers or directors of the Company. There is no currently proposed transaction, and since the beginning of fiscal year 2016 there has not been any transaction, involving the Company and Mr. Ginn which was a related person transaction within the meaning of Item 404(a) of Regulation S-K.

On October 6, 2017, the Company issued a press release announcing the resignation of Mr. Willis and the appointment of Mr. Ginn as the Companys Chief Financial Officer, a copy of which is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K.
