(d) On March 23, 2016, the Board of Directors (the “Board”) of Williams-Sonoma, Inc. (the “Company”) elected Jerry Stritzke to serve as a director of the Company, effective March 23, 2016. On March 23, 2016, the Company issued a press release announcing the election of Mr. Stritzke to the Board. A copy of the press release is attached hereto as Exhibit 99.1.
