Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 13, 2013, the Board of Directors of The Goodyear Tire & Rubber Company (the “Company”) approved amendments to the Company’s Code of Regulations that became effective immediately upon their approval by the Board.

In order to further strengthen the role of the Company’s Lead Director and to effectuate changes to the Company’s Corporate Governance Guidelines that also further strengthen the Lead Director’s role, Article II, Section 4 of the Code of Regulations has been amended to provide the Lead Director with the authority to call meetings of the Board, in addition to the Chairman of the Board, the President, any Vice President or any two Directors, who were already empowered under Ohio law to call meetings of the Board.
