On March 15, 2012, Kinder Morgan, Inc. issued a press release announcing that it has reached a verbal tentative agreement with the Federal Trade Commission staff to divest certain Kinder Morgan Energy Partners, L.P. assets in order to receive regulatory approval for its proposed acquisition of El Paso Corporation. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
