Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 23, 2010 Brian H. McCurrie, Vice President and Chief Financial Officer for Koppers Holdings Inc., accepted the position of Senior Vice President, Global Carbon Materials & Chemicals, Koppers Inc., effective May 1, 2010. The company is in the process of searching for a new Chief Financial Officer.
