Item 5.02(b).

Departure of Directors.

Lockheed Martin Corporation announced that Frank Savage notified its Board of Directors on February 18, 2010 that he does not plan to stand for re-election as a director at the 2010 Annual Meeting of Stockholders and will retire on April 22, 2010, following that meeting. Mr. Savage has been a director of Lockheed Martin since the Corporation was formed in 1995, and also served as a director of Lockheed Corporation from 1990 to 1995.
