Item 8.01 Other Events
On December 30, 2009, OceanFirst Financial Corp. (the Company) announced that it has redeemed the entire amount of Fixed Rate Cumulative Perpetual Preferred Stock, Series A, (the Preferred Stock) issued to the Treasury pursuant to the Troubled Asset Relief Program Capital Purchase Program originally issued to the Treasury on January 16, 2009. The total amount paid to the Treasury was $38,502,000, which consisted of $38,263,000 of principal and $239,000 of accrued and unpaid dividends to redeem the 38,263 shares of Preferred Stock. The Companys redemption of the Preferred Stock is not subject to additional conditions or stipulations from the Treasury. In addition, the Company was notified by the Treasury that the warrant to purchase the Companys common stock issued to the Treasury in connection with the issuance of the Preferred Stock, has been reduced by 50%, to 190,427 shares, as a result of the Companys Qualified Equity Offering completed on November 10, 2009. The exercise price of the warrant remains unchanged at $15.07 per share. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
