Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective March 1, 2009, John F. Killian will become Executive Vice President and Chief Financial Officer of Verizon Communications Inc. Compensation changes associated with Mr. Killian’s appointment have not yet been determined. A press release announcing Mr. Killian’s appointment is filed as Exhibit 99 hereto and is incorporated herein by reference.
