ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

On May 21, 2007, Eric Loumeau, Vice President General Counsel of Hollis-Eden Pharmaceuticals, Inc., tendered his resignation, effective May 29, 2007. Mr. Loumeau is returning to private practice as a partner in the San Diego office of a National law firm.
