Item 1.01. Entry into a Material Definitive Agreement
On August 15, 2006, the Compensation Committee of the Board of Directors of Williams-Sonoma, Inc., at a regularly scheduled meeting, approved salary adjustments for certain of the company’s named executive officers in connection with promotions that occurred on July 7, 2006. The Compensation Committee approved the following annual salaries, effective immediately, for the following named executive officers:

| · | Sharon McCollam, Executive Vice President, Chief Operating and Chief Financial Officer - $725,000 |
