Item 8.01. Other Events

On February 28, 2006, Serena Software, Inc. (“Serena”) issued a press release announcing that it has reached an agreement in principle with certain stockholders of Serena that provides for the settlement of purported class action litigation commenced by such stockholders against Serena and its directors following the announcement of the merger between Serena and Spyglass Merger Corp. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K.
