Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Effective April 27, 2005, Cotelligent, Inc. (the “Company”) appointed Mr. Paul Frankel to the Company’s Board of Directors. There is no arrangement or understanding pursuant to which Mr. Frankel was selected as a director, and there are no related party transactions between the Company and Mr. Frankel. The Board of Directors has not yet determined to which committees of the Board of Directors Mr. Frankel will be named.
A copy of the Company’s press release, dated April 27, 2005, announcing the appointment of Mr. Frankel to the Board of Directors is attached hereto as Exhibit 99.1.
