Item 1.01 | Entry into a Material Definitive Agreement. |
On February 16, 2005, Jacobs Engineering Group Inc. (the Registrant) and Thomas R. Hammond, one of the Registrants Executive Vice Presidents, entered into an Assignment Letter Agreement (the Assignment Agreement). The Assignment Agreement is designed to maintain Mr. Hammonds current level of income and benefits through the duration of his temporary transfer to the Registrants London (Reading), England office, taking into consideration the additional costs that the parties anticipate in connection with Mr. Hammonds transfer. Among other things, the Assignment Agreement provides for a grant of 10,000 stock options pursuant to the Registrants 1999 Stock Incentive Plan, as amended, a goods and services differential of £5,532 British Pounds Sterling per month, housing and relocation expenses, tax equalization benefits and certain other benefits. The foregoing summary is subject to the complete text of the Assignment Agreement, a copy of which is attached to this Current Report on Form 8-K as Exhibit 99.1, and is qualified in its entirety by reference thereto.
