Item 5.   Other Events and Required FD Disclosure.

               On August 12, 2003, Anworth Mortgage Asset Corporation (the “Registrant”) entered into an underwriting agreement, a copy of which is attached hereto as Exhibit 1.1, with the underwriters named therein (collectively, the “Underwriters”), relating to the sale of 3,500,000 shares of the Registrant’s common stock, par value $0.01 per share (the “Common Stock”). An additional 525,000 shares of Common Stock are subject to a 30-day option granted to the Underwriters to cover over-allotments, if any. The offering is expected to close on August 18, 2003.
