On December 30, 2011, in anticipation of entering into new employment
agreements, Access National Bank and Michael W. Clarke, President and
Chief Executive Officer, and Access National Bank and Robert C.
Shoemaker, Executive Vice President and Chief Lending Officer,
hereinafter referred to as the “Executives”, mutually agreed to
terminate their existing employment agreements effective December 31,
2011. The new employment agreements are expected to be entered into in
the first quarter of 2012. In the meantime, the Executives will be
employees-at-will and will continue to receive the same compensation and
employee benefits as were provided in the terminated agreements.
