Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 22, 2009, Akorn, Inc. entered into an amendment to the Executive Consulting Agreement between the Company and Raj Rai, its Interim Chief Executive Officer.

The Executive Consulting Agreement was amended to extend its term for one year from the original expiration date of December 7, 2009 to an amended expiration date of December 7, 2010.
