     Registrant is unable to file Form 10-KSB because management has devoted
substantial time and effort to recent business matters and to transitioning to
our new independent accountants.

     To complete its annual filing with proper review and approval from the
Company's legal counsel and outside auditors, the Company respectfully requests
this additional extension of time to file.

     If so, attach an explanation of the anticipated change, both narratively
and quantitatively, and, if appropriate, state the reasons why a reasonable
estimate of the results cannot be made.

     Registrant (the "Company") anticipates a significant change in its results
of operations compared to its corresponding period of the last fiscal year. The
Company estimates that it will report a net loss of approximately $4.7 million
in 2003 compared to a net loss of $8.8 million in 2002. Even though revenue
decreased $3.5 million, the Company's improvement over 2002 is primarily due to
a reduction in its provision for doubtful accounts of $5.4 million and a
reduction in professional fees of $1.1 million. Also, in 2002 the Company
recorded a $2.0 million loss on a terminated acquisition.

     Net revenue decreased $3.5 million, or 30.2%, to $8.1 million in 2003 from
$11.6 million in the 2002 due to a decline in case volume and a shift in the
types of cases performed. Case volume decreased to 6,791 in 2003 from 7,374 in
2002.
