Take-Two Interactive Software, Inc. to Offer $100 Million of Convertible Senior Notes
Prior to December 1, 2013, the notes will be convertible only upon specified events and, thereafter, at any time. Upon conversion, the notes may be settled, at the Companys election, in cash, shares of the Companys common stock, or a combination of cash and shares of the Companys common stock. The interest rate, conversion price and other terms will be determined by negotiations between the Company and the underwriters. The Company may redeem some or all of the notes for cash under certain circumstances on or after June 5, 2012.
In connection with the offering of the notes, the Company expects to enter into convertible note hedge transactions with affiliates of J.P. Morgan Securities Inc. and Barclays Capital Inc. (the Hedge Counterparties). The convertible note hedge transactions are expected to reduce the potential dilution to the Companys common stock upon conversion of the notes. The Company also expects to enter into warrant transactions with the Hedge Counterparties. However, the warrant transactions could separately have a dilutive effect to the extent that the market value per share of the Companys common stock exceeds the applicable strike price of the warrants.
In connection with establishing their initial hedge of the convertible note hedge and warrant transactions, the Hedge Counterparties or their affiliates expect to enter into various derivative transactions with respect to the Companys common stock concurrently with or shortly after the pricing of the notes. This activity could increase (or avoid a decrease in) the market price of the Companys common stock or the notes at that time.
In addition, the Hedge Counterparties or their affiliates may modify their hedge positions by entering into or unwinding various derivatives with respect to the Companys common stock and/or purchasing or selling the Companys common stock in secondary market transactions following the pricing of the notes and prior to the maturity of the notes (and are likely to do so during any observation period related to a conversion of notes). This activity could also cause or avoid an increase or a decrease in
the market price of the Companys common stock or the notes, which could affect a noteholders ability to convert the notes and, to the extent the activity occurs during any observation period related to a conversion of notes, it could affect the number of shares and value of the consideration that a noteholder will receive upon conversion of the notes.
The Company expects to use a portion of the net proceeds from this offering to pay the cost of the convertible note hedge transaction (after such cost is partially offset by proceeds from the sale of the warrants). If the underwriters exercise their over-allotment option to purchase additional notes, the Company may sell additional warrants and use a portion of the proceeds from the sale of the additional notes, together with the proceeds from the sale of the additional warrants, to enter into additional convertible note hedge transactions.
The remaining net proceeds from the sale of the notes and the warrants will be used for general corporate purposes.
