Item 8.01.  Other Events.

 

On March 26, 2009, Buckeye Partners, L.P. (the “Partnership”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Barclays Capital Inc., Citigroup Global Markets Inc., J.P. Morgan Securities Inc. and Wachovia Capital Markets, LLC, as representatives of the underwriters, (the “Underwriters”), that provides for the issuance and sale by the Partnership, and the purchase by the Underwriters, of 2,600,000 limited partnership units of the Partnership.  The Underwriters are offering the limited partnership units at an initial offering price to the public of $36.25 per unit.  The Underwriters have been granted an option to purchase up to 390,000 additional limited partnership units. The limited partnership units to be issued pursuant to the Underwriting Agreement are registered under the Securities Act of 1933, as amended (the “Act”) pursuant to a shelf registration statement on Form S-3 (File No. 333-155522).  The Partnership expects the transaction to close on or about March 31, 2009.  A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this report and is incorporated by reference herein.
