Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Beacon Roofing Supply, Inc. amended Article 7, Section 7.1 of its amended and restated by-laws, effective September 18, 2007, to change the end of its fiscal year from the close of business on the last Saturday of September to the close of business on the last day of September. A copy of the amended and restated by-laws, as amended, is filed as Exhibit 3.1 to this Form 8-K.
