(b)                                 In Isolagen’s Letter to Shareholders dated March 14, 2006 (see Isolagen’s Form 8-K dated March 14, 2006), Isolagen announced that Mr. Martin E. Schmieg intended to leave Isolagen to become the Chief Executive Officer of a small private company. Effective March 31, 2006, Mr. Schmieg has resigned as Isolagen’s Chief Financial Officer and Senior Vice President.
