RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On July 20, 2009, Boston Scientific Corporation (the “Company”) issued a press release announcing financial results for the second quarter ended June 30, 2009.  A copy of the release is furnished with this report as Exhibit 99.1.
