Item 2.02.  Results of Operations and Financial Condition

OGE Energy Corp. (the “Company”) is the parent company of Oklahoma Gas and Electric Company (“OG&E”), a regulated electric utility with approximately 776,000 customers in Oklahoma and western Arkansas, and Enogex LLC and its subsidiaries (“Enogex”), a midstream natural gas pipeline business with principal operations in Oklahoma.

On January 19, 2010, the Company issued a press release announcing that it expects its 2009 earnings to exceed the previously announced guidance of $2.30 to $2.60 per diluted share, which is furnished as Exhibit 99.01 and incorporated herein by reference.  The primary drivers for the higher 2009 earnings expectations are higher than previously forecasted results for Enogex’s processing business, colder than normal weather in December in OG&E’s service territory and lower than previously forecasted operation and maintenance expenses at both OG&E and Enogex.
