The TJX Companies, Inc. Announces Acceptance Rate Over 95% for Visa Settlement Agreement

The TJX Companies, Inc. (NYSE: TJX) today announced that financial institutions representing more than 95% of eligible U.S. Visa accounts potentially affected by TJXs unauthorized computer intrusion(s) accepted the alternative recovery offer under TJXs previously announced Settlement Agreement with Visa U.S.A. Inc., Visa Inc. and TJX's U.S. acquiring bank. Consummation of the settlement was conditional on an 80% acceptance rate.

We are pleased with the overwhelming response from issuers and appreciate the cooperation TJX has shown during this process, said Ellen Richey, head of global risk management for Visa Inc. The alternative recovery solution Visa and TJX delivered to the marketplace demonstrates how payment system participants can resolve differences for the benefit of the entire system.

Under the Settlement Agreement, TJX agreed to fund up to $40.9 million in alternative recovery payments. These costs are already reflected in the charge related to the computer intrusion(s) that TJX took in its fiscal 2008 second quarter. As previously announced, the financial institutions that accepted this alternative recovery offer will receive their payments by December 27, 2007. Each accepting issuer has waived certain rights to any other recovery through litigation or otherwise and provided certain releases of TJX and its U.S. acquiring banks.
