ICC Holdings Confirms Withdrawal of Stilwell Group Director Nomination

Urges Shareholders to Vote FOR Current Directors James R. Dingman, John R. Klockau, and Gerald J. Pepping Using the WHITE Proxy Card

ICC Holdings, Inc. (NASDAQ: ICCH) (the “Company”), parent company of Illinois Casualty Company, a regional, multi-line property and casualty insurance company focusing exclusively on the food and beverage industry, confirmed that, on June 10, 2024, the Stilwell Group (“Stilwell”) withdrew the nomination of its principal, Joseph Stilwell, for election to the ICC Holdings Board of Directors (the “Board”) at the 2024 Annual Meeting of Shareholders (the “Annual Meeting”), scheduled to be held on June 14, 2024.

As a result, current directors James R. Dingman, John R. Klockau, and Gerald J. Pepping are the only eligible nominees for election to the Board. ICC Holdings shareholders must vote on the WHITE proxy card or voting instruction form to ensure their vote is counted. The Board recommends that shareholders vote FOR Messrs. Dingman, Klockau, and Pepping, FOR the selection of the Company’s independent registered public accounting firm and FOR the proposal to approve the compensation of the Company’s named executive officers.
