The Compensation Committee of the Board of Directors of Old Line Bancshares, Inc. (“Bancshares”) has adopted a Form of Restricted Stock Agreement under Bancshares’ 2004 Equity Incentive Plan.  A copy of the Form of Restricted Stock Agreement is filed as Exhibit 99.1 hereto.
