Item 1.01 Entry into a Material Definitive Agreement.
Effective April 1, 2005, the Compensation Committee of the Board of Directors of Peabody Energy Corporation (the Company) approved an increase in the compensation of Richard A. Navarre, Executive Vice President and Chief Financial Officer of Company, following a recent expansion of Mr. Navarres responsibilities and after a review of performance and competitive market data.
Mr. Navarres base annual salary was set to $575,000. Also, he was granted 5,401 nonqualified stock options, at an exercise price of $47.45 per share, pursuant to the Companys 2004 Long-Term Equity Incentive Plan. The options will vest in one-third increments over a period of three years; however, they will vest immediately upon a change of control of the Company or upon an employees death, disability or a recapitalization event. The options will expire March 31, 2015. Mr. Navarre was also granted 3,248 performance units pursuant to the Companys 2004 Long-Term Equity Incentive Plan. The performance period for such award is January 3, 2005 through December 31, 2007. The measures applicable for Mr. Navarres performance units are the same measures described in the Companys Proxy Statement on Schedule 14A filed with the Commission on March 31, 2005 for awards of performance units with a performance period of January 2, 2004 through December 31, 2006, except the measures are based on a period beginning January 3, 2005 and ending December 31, 2007.
